Policy For Document Access By University Accounts

In today's high-tech world, a company's most important asset is often its intellectual property. A company's success or failure can depend on the careful protection of their proprietary materials, so they take elaborate precautions to ensure that these valuable assets do not go unprotected. MOSIS has worked with its vendors to ensure we provide the same level of protection in our distribution of their proprietary documentation.

Universities historically are places that encourage the free, unencumbered access to information, and, as such, often aren't equipped to monitor and enforce access restrictions. Because of this, MOSIS and our vendors insist academic institutions wishing to gain access to a company's proprietary materials follow the procedures outlined herein.

ALL UNIVERSITY ACCOUNTS

  1. All university accounts (domestic, foreign, commercial, MEP Instructional and MEP Research) must have a legally binding signed MOSIS Customer Agreement on file.

    Without exception, each university must have a MOSIS Customer Agreement executed by an individual empowered to enter into a legal agreement on behalf of the university.

    This agreement includes a Non-Disclosure Agreement (NDA) that is legally binding to the university, the faculty, the students, and the staff who have access to MOSIS vendor proprietary material.

    A professor can be accepted as a signatory only upon receipt by MOSIS of a statement from the university legal department on university letterhead acknowledging the professor's authority to enter into a legal agreement on behalf of the university.


  2. Every document access request must include the Academic Account Document Access Application, containing the following:

    • Account Information

    • Fabrication Plan

    • Account Liaison NDA

    • List of students, staff, and other faculty that have signed the individual NDA.

    Additionally, a Mini-Proposal may be requested.

    Each professor is responsible for the maintenance of their account including managing document access.


  3. Each vendor requires the liaison person of a university account to file an additional document or set of documents specific to the set of proprietary material. Requests for access to these documents must be from the liaison person on record for the account. Requests from a student, a staff person or a faculty member (who is not on record as the liaison) will not be considered under any circumstances. See the list of forms by vendor.

    The final approval for granting access is at the sole discretion of the individual vendor. Access is not automatically granted, and there are cases in which there is no means for reversing a refusal to grant access.

    MOSIS and its vendors have many methods at our disposal to monitor compliance. Failure to honor these terms can lead to immediate revocation of access to specific or all processes available through MOSIS, and may lead to the suspension of access for the entire university to fabrication through MOSIS. In addition, the vendor may pursue litigation against the university and against individuals who have had access to these documents.
